Terms of Service

Draft. These terms describe how Hovlist actually operates today, but they have not been reviewed by a lawyer. Placeholders in [brackets] must be completed, and the document should be reviewed for your jurisdiction, before you rely on it.

1. Who we are

Hovlist (“Hovlist”, “we”, “us”) is operated by [LEGAL ENTITY NAME], [REGISTERED ADDRESS]. These Terms govern your access to and use of the Hovlist website and application (the “Service”). By creating an account you agree to them. If you do not agree, do not use the Service.

2. What the Service does

Hovlist generates ecommerce product listings — titles, descriptions and tags — from photos and information you provide, scores their quality, lets you edit them, and publishes them to the Shopify and Etsy shops you connect. It can also schedule publishing, edit product photos, and import products from a connected Shopify store.

Features are described as they exist at the time of writing. We may add, change or remove functionality; if we remove something material to a paid plan, you may cancel under section 5.

3. Your account

  • You must be at least 18 and able to enter a binding contract.
  • You are responsible for your account credentials and for everything done under your account.
  • One account per person or business unless we agree otherwise in writing.
  • Provide accurate information and keep your email current — it is how we reach you about billing and service issues.

4. Free tier and credits

New accounts receive a fixed allowance of free listing generations (“credits”). One credit is spent per successful AI generation. A generation that fails does not spend a credit. Credits are not money, have no cash value, cannot be transferred or refunded, and may expire if an account is inactive for an extended period.

5. Subscription, billing and cancellation

  • The Pro plan is $29.99 per month, billed in advance, and renews automatically until cancelled.
  • Payments are processed by Lemon Squeezy, who act as merchant of record. Their terms apply to the payment itself, and your card statement will show their descriptor. We do not see or store your full card details.
  • You can cancel at any time from Settings → Billing. Cancellation stops the next renewal; your plan stays active until the end of the period you have already paid for.
  • Refunds are handled by Lemon Squeezy under their refund policy. If you believe you were charged in error, contact us at support@hovlist.com and we will help.
  • Prices may change with at least 30 days’ notice by email, effective at your next renewal.
  • Taxes are added where required and are shown at checkout.

6. Connecting Shopify and Etsy

Connecting a shop authorizes Hovlist, through that marketplace’s OAuth flow, to read and write listings on your behalf. You can disconnect a shop at any time from the shop menu, which removes the stored access token.

Etsy and Shopify are independent third parties. Your use of them is governed by their own terms and policies, which you remain responsible for following. We are not responsible for their availability, their rate limits, changes they make to their APIs, or any action they take on your shop or listings.

7. Your content and your responsibility for what you publish

You keep all rights in the photos, product information and other material you upload (“Your Content”), and in the listing text Hovlist generates from it. You grant us a limited license to host, process and transmit Your Content solely to operate the Service for you — including sending it to the AI and image providers listed in our Privacy Policy.

You are responsible for everything published to your shops. Listings created with Hovlist go live under your seller account, in your name. Before publishing you must review the generated text and the listing attributes for accuracy and for compliance with the marketplace’s rules — including handmade, production and materials declarations, which Hovlist submits with default values you are expected to check and correct. You warrant that you hold the rights to the images and designs you upload.

8. AI-generated output

Listing text, tags, scores and alt text are produced by automated systems. They can be inaccurate, generic, or unsuitable for a particular product or marketplace. Quality scores are our own heuristic and are not a prediction of sales, search ranking or marketplace approval. Output is provided for you to review and edit — not to publish unread.

9. Acceptable use

You agree not to:

  • use the Service to create infringing, counterfeit, deceptive or unlawful listings;
  • upload content you do not have the rights to, or content that is illegal or abusive;
  • attempt to bypass credit limits, rate limits, authentication, or any access control;
  • scrape, resell or white-label the Service, or use it to build a competing product;
  • overload the Service or the marketplaces through automated bulk activity beyond normal use.

We may suspend or terminate an account that breaches this section.

10. Our intellectual property

The Service — the software, interface, branding and documentation — remains ours. Nothing in these Terms transfers ownership of it to you. You receive a non-exclusive, non-transferable right to use it while your account is in good standing.

11. Availability

We aim to keep the Service available but do not guarantee uninterrupted operation. It depends on third-party infrastructure and on the Etsy and Shopify APIs, any of which can fail or change. Scheduled publishing runs on a recurring background job; while we work to publish at the time you choose, exact timing is not guaranteed.

12. Disclaimer and limitation of liability

To the fullest extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

To the fullest extent permitted by law, we are not liable for lost profits, lost sales, lost or removed listings, marketplace penalties, or any indirect or consequential loss. Our total liability for any claim relating to the Service is limited to the amount you paid us in the twelve months before the claim arose. Some jurisdictions do not allow these limits, in which case they apply only as far as the law permits.

13. Indemnity

You agree to indemnify us against claims arising from Your Content, from listings you publish, or from your breach of these Terms or of a marketplace’s rules.

14. Termination

You may stop using the Service and delete your account at any time — write to support@hovlist.com and we will action it. We may suspend or terminate access for a breach of these Terms, for non-payment, or if required by law. On termination, your right to use the Service ends; listings already published to your shops are unaffected and remain yours.

15. Changes to these Terms

We may update these Terms. Material changes will be notified by email or in the app before they take effect, and the “Last updated” date above will change. Continuing to use the Service after that means you accept the revised Terms.

16. Governing law

These Terms are governed by the laws of [JURISDICTION], and the courts of [JURISDICTION] have exclusive jurisdiction, without prejudice to any mandatory consumer protections available to you where you live.
